ZURICH, Switzerland, April 25, 2008 (PRIME NEWSWIRE) -- Esmertec(tm) (SWX:ESMN), a leading edge provider of software platforms, applications and services to communications device manufacturers and mobile telecom operators, today invited all registered shareholders to its Annual General Meeting of shareholders (AGM) to be held on May 15, 2008. Official publication was made in the Swiss Commercial Gazette.
The AGM will take place at Hotel Novotel Zurich Airport Messe, Talackerstrasse 21, Glattbrugg - Switzerland. Shareholders will be asked, amongst others, to reelect Board Members Hans-Ulrich Muller and Jean Schmitt for a term of office of one year, Michel Bon and Hans Peter Baumgartner for two years. Jean-Claude Martinez, the former CEO of Esmertec, is proposed to be newly elected as a Board Member for a term of office of two years. Subject to his re-election by the AGM, the Board of Directors will appoint Mr Baumgartner as Chairman of the Board. Furthermore, shareholders will have the opportunity to vote on the increase of the authorized capital by 2 million shares, valid for a period of 2 years. The proposed capital increase is earmarked for strategic purposes such as strategic alliances or to invite strategic investors to further strengthen the Company's competitive position.
