Pizza Inn Holdings, Inc. Files Form S-3


THE COLONY, Texas, May 3, 2013 (GLOBE NEWSWIRE) -- Pizza Inn Holdings, Inc. (Nasdaq:PZZI) (the "Company") today announced that it has filed a shelf registration statement on Form S-3 with the Securities and Exchange Commission. The shelf registration statement, if and when declared effective, will permit the Company, from time to time, to offer and sell up to $3.0 million of its common stock in one or more public offerings, subject to market conditions and the capital requirements of the Company. All of the common stock subject to the registration statement is solely for offer and sale by the Company. There are no selling stockholders.

The Company currently anticipates that the net proceeds from any sale of its common stock under the shelf registration will be used primarily to continue developing new Company-owned Pie Five restaurants in the Dallas - Fort Worth metropolitan area and to initiate the development of new Company-owned Pie Five restaurants in other metropolitan markets. The Company also may use net proceeds from any sale of its common stock under the shelf registration for other working capital and general corporate purposes.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
