Questrade Wealth Management Inc. Announces Unitholder Meetings


TORONTO, Oct. 10, 2017 (GLOBE NEWSWIRE) -- Questrade Russell US Midcap Growth Index ETF Hedged to CAD (TSX:QMG), Questrade Russell US Midcap Value Index ETF Hedged to CAD (TSX:QMV), Questrade Russell 1000 Equal Weight US Technology Index ETF Hedged to CAD (TSX:QRT), Questrade Russell 1000 Equal Weight US Industrials Index ETF Hedged to CAD (TSX:QRI), Questrade Russell 1000 Equal Weight US Health Care Index ETF Hedged to CAD (TSX:QRH), Questrade Russell 1000 Equal Weight US Consumer Discretionary Index ETF Hedged to CAD (TSX:QRD), Questrade Fixed Income Core Plus ETF (TSX:QCP) and Questrade Global Total Equity ETF (TSX:QGE) (collectively, the “Questrade ETFs”) announce that special meetings of the Questrade ETFs (the “Meetings”) will be held on Friday, November 10, 2017. If required, adjourned Meetings will be held on Monday, November 20, 2017.

At the Meetings, as previously announced in Questrade Wealth Management Inc.’s (“Questrade”) July 27, 2017 press release, unitholders of certain Questrade ETFs will be asked to approve a merger (collectively, the “Mergers”) into the following exchange-traded funds managed by WisdomTree Asset Management Canada, Inc. (“WisdomTree Canada”), as shown in the chart below, and on the basis described in the information circular expected to be mailed to unitholders on or about October 11, 2017 (the “Information Circular”).

Each Merger will result in a change in manager and trustee from Questrade to WisdomTree Canada, the change in the investment advisor to Mellon Capital Management Corporation as investment advisor, a change in fundamental investment objectives, a change in auditors to Ernst & Young LLP, a change in custodian to State Street Trust Company Canada and (i) an increase in the management fee in the case of Questrade Russell US Midcap Growth Index ETF Hedged to CAD, Questrade Russell US Midcap Value Index ETF Hedged to CAD, Questrade Russell 1000 Equal Weight US Technology Index ETF Hedged to CAD, Questrade Russell 1000 Equal Weight US Industrials Index ETF Hedged to CAD, Questrade Russell 1000 Equal Weight US Health Care Index ETF Hedged to CAD and Questrade Russell 1000 Equal Weight US Consumer Discretionary Index ETF Hedged to CAD), or (ii) a decrease in the management fee in the case of Questrade Fixed Income Core Plus ETF, all as described more particularly in the Information Circular.

In addition, unitholders of Questrade Global Total Equity ETF will be asked to approve a change in trustee and manager from Questrade to WisdomTree Canada (“Change in Manager”) among other changes described in the Information Circular. The Change in Manager will also result in One Capital Management, LLC either being appointed as investment advisor or retaining its current role as investment sub-advisor, a change in auditors to Ernst & Young LLP, a change in custodian to State Street Trust Company Canada and a change to the name of the fund to “ONE Global Equity ETF”.

If unitholders of the Questrade ETFs approve the Mergers and Change in Manager, Questrade currently anticipates implementing such changes in the fourth quarter of 2017, subject to obtaining all required regulatory and other approvals, including securities regulatory approval for the Mergers and Change in Manager.
