Verso Announces Private Placement


ATLANTA, Feb. 25, 2008 (PRIME NEWSWIRE) -- Verso Technologies, Inc. (Nasdaq:VRSO), a global provider of next generation network solutions, announced today that it has sold in a private placement to certain accredited investors securities at an aggregate purchase price of approximately $250,000, which consist of approximately 1.4 million shares of common stock and 5-year warrants to purchase approximately 1.4 million shares of common stock exercisable six-months after issuance at an exercise price of $0.217 per share. In addition, the Company has accepted subscriptions for the purchase of an additional 2.1 million shares of common stock and 2.1 million 5-year warrants at an aggregate purchase price of $552,000, which warrants will be exercisable six months after their issuance at an exercise price of $0.313 per share, and the Company expects to complete soon the sale of the securities pursuant to such subscriptions. The offerings were priced slightly above the prevailing market immediately prior to the Company's acceptance of the subscriptions and contained a six-month "lock-up" provision.

The Company expects the net proceeds from the offering will be used for general corporate purposes, including the payment of a portion of its obligation to Clarent Corporation to be made on or before March 3, 2008.
