1. On September 08, 2008, Seeker Managementbeteiligung GmbH & Co. KG,
Dachau, Germany has informed us according to Article 21, Section 1 of
the WpHG that via shares its Voting Rights on Tognum AG,
Friedrichshafen, Deutschland, ISIN: DE000A0N4P43, WKN: A0N4P4, have
fallen below the threshold of 10% on September 5, 2008 and amounts to
9.47% (this corresponds to 12445281 Voting Rights) on this date.
2. On September 08, 2008, Seeker (Guernsey) Holdings Limited, EQT IV (No.
1) Limited Partnership, EQT IV (No. 2) Limited Partnership, EQT IV GmbH& Co. KG, EQT IV Co-Investment-Scheme, EQT IV (General Partner) Limited
Partnership, EQT IV Limited, each of the foregoing named companies with
registered office St. Peter Port, Guernsey, Channel Islands, EQT IV AG,
Zürich, Switzerland and CBTJ Financial Services B.V., Strawinskylaan,
Netherlands has informed us according to Article 21, Section 1 of the
WpHG that via shares its Voting Rights on Tognum AG, Friedrichshafen,
Deutschland, ISIN: DE000A0N4P43, WKN: A0N4P4, have fallen below the
threshold of 10% on September 5, 2008 and amounts to 9.47% (this
corresponds to 12445281 Voting Rights) on this date. Said shareholding
of 9.47% (this corresponds to 12445281 Voting Rights) is attributed to
each of the foregoing entities pursuant to Article 22, Section 1,
Clause 1, No. 1, Article 22 Section 1, Clause 3 and Article 22 Section
3 WpHG.
The chain of controlled undertakings through which the voting rights are
held is:
Seeker Managementbeteiligung GmbH & Co. KG holds the shares directly and is
controlled by Seeker (Guernsey) Holdings Limited. The largest shareholder
of Seeker (Guernsey) Holdings Limited is EQT IV (No. 1) Limited
Partnership, with EQT IV (No. 2) Limited Partnership, EQT IV GmbH & Co. KG
and EQT IV Co-Investment-Scheme holding the remainder of the shares. The
general partner and/or the managing limited partner and manager
respectively of those shareholders is EQT IV (General Partner) Limited
Partnership. The general partner of EQT IV (General Partner) Limited
Partnership is EQT IV Limited whose sole shareholder is EQT IV AG, whose
sole beneficial shareholder in turn is CBTJ Financial Services B.V. None of
the shareholders of CBTJ Financial Services B.V. hold more than 10% of the
shares and voting rights of CBTJ Financial Services B. V.
