Roth & Rau AG takes over Tecnofimes S.r.l.
- Securing of expertise in a further important technology segment

Hohenstein-Ernstthal, 7 November 2008 – Roth & Rau AG will take over
Tecnofimes S.r.l based in Monza, Italy, as of 1 January 2009. The adoption
of the corresponding resolution by the Supervisory Board and contract
signing took place today. Tecnofimes is a provider of production equipment
for thermal processes such as diffusion and firing used in the production
of crystalline silicon solar cells. The integration of Tecnofimes products
will enable Roth & Rau to extend its range of services with an important
technology segment. In particular, the company aims to launch a new
generation of in-line diffusion facilities onto the market. These novel
in-line diffusion ovens are to be produced at Roth & Rau. Tecnofimes will
contribute the technological expertise required in the development work,
drawing on its longstanding experience in the field of in-line system
solutions for thermal process technologies.

This acquisition is of great strategic significance for Roth & Rau AG. It
harbours additional growth potential by extending the company’s product
portfolio. Above all, it helps the company in achieving its long-term
strategic goal of significantly increasing its proprietary share of the
value chain in crystalline silicon solar cell production. Accordingly, the
share of proprietary products and services in the turnkey lines offered by
Roth & Rau should increase from around 45 % at present to around 65 % in
future. Alongside antireflective coating, the addition of diffusion and
firing mean that Roth & Rau will control three of the most important
technological process stages impacting significantly on the degree of
efficiency of crystalline silicon solar cells. By further increasing the
throughput and efficiency of the solar cells and reducing costs, the
technological benefits of the in-line production lines offered by Roth &
Rau should therefore become even more apparent in future.

The purchase price for 100 % of the shares in the company amounts to EUR
3.1 million and is dependent on the achievement of contractually determined
targets over the next three years. Tecnofimes generated sales of EUR 1.9
million in the period January to July 2008.
