TietoEnator Corporation Stock Exchange Announcement 18 December 2008 3.35 pm EET Stock Options 2006 The Annual General Meeting of TietoEnator Corporation decided on 23 March 2006 to offer free of charge a maximum total of 1 800 000 stock options for subscription by the key personnel of the TietoEnator Group as well as by a wholly owned subsidiary of TietoEnator Corporation. The issued stock options entitle to subscribe, in total, for a maximum of 1 800 000 shares in TietoEnator Corporation. The terms and conditions of the stock options have been published via a stock exchange release on 9 February 2006. The stock options 2006 are divided into series A, B and C. The Board of Directors of TietoEnator Corporation has in spring 2006 allocated stock options 2006 A to approximately 300 key employees of the TietoEnator Group based on performance. In spring 2008 a part of stock options 2006 A were converted into stock options 2006 C. The number of stock options 2006 A is at the moment 459 250 in the Finnish book-entry system. As a result of the share subscriptions, the number of shares in TietoEnator Corporation may increase by a maximum of 459 250 shares, and the share capital by a maximum of EUR 459 250. The share subscription period for stock options 2006 A will commence on 1 March 2009 and will end on 31 March 2011. Each stock option entitles its holder to subscribe for one (1) share in TietoEnator Corporation. The counter book value of one share is EUR 1. Payment of shares shall be effected on subscription. The share subscription price amounts to EUR 28.02. The amount of the dividend decided before share subscription will be deducted from the share subscription price as per the dividend record date. The subscription price of the shares shall, however, always amount to at least the counter book value of the share. The Board of Directors of TietoEnator Corporation has decided that the Stock Options 2006 A in the Finnish book-entry system will be listed on the main list of Nasdaq OMX Helsinki as of 1 March 2009. The shares subscribed with stock options 2006 will be listed as additional lots of TietoEnator shares on the main list of Nasdaq OMX Helsinki together with old shares after the share capital increase has been registered. The Board of Directors of TietoEnator Corporation has also decided that subscriptions shall be made by paying the subscription price and that Evli Pankki Oyj, Aleksanterinkatu 19 A, 00100 Helsinki, Finland, merkinta.eam.fi shall act as the subscription place. Stock Options 2002 A/B and 2006 A The share subscription period for stock options 2002 A/B shall end on 30 June 2009 and the share subscription period for stock options 2006 A shall begin on 1 March 2009. Listing time schedule for shares subscribed with Stock Options 2002 A/B and 2006 A for 2009: - Shares subscribed by and on the dividend record date, if any, decided by the annual general meeting, will be listed on or about the seventh banking day after the dividend record date.
