According to the current results of year end closing work as of Dec. 31.
2008 the Executive Board has at it's best judgement grounds to assume, that
more than 50% of the Share Capital of the Company has been lost. This is
primarily due to extraordinary write-offs and losses in the automotive
parts manufacturing branch that have to be absorbed.

The Executive Board is actually elaborating appropriate measures in order
to strengthen the company's equity. According to § 92 Abs.1 AktG the
Executive Board will convoke without delay an extraordinary shareholders'
meeting for the purpose to declare the loss of share capital and to report
about the status of the initiated measures. Time and date of the
extraordinary shareholders' meeting will be announced together with the
publication of the invitation.
