Hamburg, 15. October 2009. With the approval of the Supervisory Board, the
Management Board of GWB Immobilien AG passed a resolution today to make a
convertible bond issue with a total nominal amount of up to EUR
3,062,500.00, divided up into 1,225,000 bearer bonds of equal standing with
a nominal amount of EUR 2.50 each. The convertible bonds issued can be
converted into up to 1,225,000 new shares. The term of the convertible bond
issue begins on 1. November 2009 and continues up to and including 31.
October 2014. Interest of 7.5% p.a. will be paid on the nominal amount of
the convertible bond issue.
The shareholders will be granted the legal subscription right by VEM
Aktienbank AG, Munich, being allowed to subscribe and take over the bonds
for an issue amount of 100% of the nominal amount (corresponding to EUR
2.50) per bond, with the obligation to offer them to the shareholders for
subscription at a ratio of 4 : 1, i.e. 4 GWB Immobilien AG shares entitle
the shareholder to subscribe one bond for an issue amount of 100% of the
nominal amount (corresponding to EUR 2.50) per bond (the 'subscription
price'). To achieve the exact subscription ratio, existing shareholders of
the company agree not to exercise subscription rights to 406,250 bonds. Any
bonds not subscribed on the basis of the subscription offer are to be
offered to institutional investors for purchase at the subscription price
in the context of a private placement. There shall be no subscription right
with respect to fractional amounts.
