Announcement no. 36-2009 2 December 2009 Company Announcement Amagerbanken's extraordinary general meeting On Wednesday, 2 December at 14.00 Amagerbanken held extraordinary general meeting during which meeting the submitted and unanimously approved proposals from 1 - 3 were adopted with the required majority. The Bank is now able to obtain a state-funded capital injection of between DKK 900,000,000 and 1,400,000,000 on the basis of an individual agreement with the Danish State represented by the Ministry of Economic and Business Affairs. The capital injection can be divided into two tranches. In addition to the present authorisation of the Articles of Association the Bank's Board of Directors was further authorised to conclude an increase of the Bank's share capital of a total amount of up to nominal DKK 250,000,000 for use as alternative payment of coupon on the capital injection by means of an issuance of new shares. Finally, the Board of Directors or the chairmann of the meeting were with substitution right authorised to notify the adopted proposals and make the amendments of the adopted proposals, which the Danish Commerce and Companies Agency, the Danish Securities Centre, NASDAQ OMX Copenhagen, the Danish Financial Supervisory Authority or other authorities might require or request made as a condition for registration or approval.
