Press release Lund, Sweden, March 25, 2010 Communiqué from the 2010 Annual General Meeting of Doro AB The Annual General Meeting of Doro AB (publ), held on March 25, 2010, resolved, among other things: • to approve the income statement and balance sheet, as well as the consolidated income statement and balance sheet; • to bring forward the profit for the year in its entirety without paying a dividend to shareholders; • to discharge all members of the Board and the President from liability for the 2009 financial year; • to re-elect Bo Kastensson, Peter Blom, Karin Moberg, Jonas Mårtensson and Jérôme Arnaud as ordinary members of the Board for the period extending until the conclusion of the next Annual General Meeting; • to re-elect Bo Kastensson as the Chairman of the Board; • that the Chairman of the Board shall receive a fee of SEK 300,000 and that other members not employed by the company shall receive a fee of SEK 100,000 each; • to authorize the Board, for the period extending until the next Annual General Meeting, to make decisions, on one or more occasions, to issue a total of at most 1,900,000 shares and that the Board shall be authorized to determine whether new shares shall be issued against cash payment and/or in accordance with the regulations set forth in chapter 13, section 5, paragraph 1, point 7 of the Swedish Companies Act (in kind, offset or other conditions) and that new shares may be issued with or without deviation from shareholders' preferential rights.
