Gütersloh, April 23, 2010 - On April 14, 2010 the executive board and the
supervisory board of syskoplan AG have agreed on the conclusion of a
domination agreement with Reply S.p.A. as dominating company and syskoplan
AG as dominated company.  Amongst other the agreement stipulates a cash
compensation in the amount of EUR 8.17 per share for shareholders, who wish
to sell their shares to Reply S.p.A.

We just received the three months average share price calculated by the
Federal Institute for Financial Services Supervision (Bundesanstalt für
Finanzdienstleistungsaufsicht) amounting to EUR 8.19. Accordingly the
appropriate cash compensation rises to EUR 8.19. The recurring cash benefit
is not influenced by this action.
