On the merger notification of Ventspils nafta and Euromin Holding (Cyprus) Limited

AS “Ventspils nafta” (VN) informs that VN and its shareholder “Euromin Holdings
(Cyprus) Limited” (Euromin) have prepared and submitted a merger notification
to the Competition Council of the Republic of Latvia. The submission of the
merger notification is related to the possibility of election of the majority
members of VN supervisory institution, which under the Competition Law is an
indication for acquisition of decisive influence.  VN Supervisory Council
elections were held at the General Meeting of Shareholders on 7 July 2010 and
the candidates nominated by Euromin were elected and they form majority at the
VN Supervisory Council.
