DISCLOSURE UNDER CHAPTER 2, SECTION 10 OF THE SECURITIES MARKET ACT
GeoSentric Oyj has received a disclosure under chapter 2, section 9 of the Securities Market Act regarding a change in holdings.
Schroder Investment Management Limited (registered in the UK under the registration number 1893220, “Schroder”) holds as an asset manager for its clients GeoSentric Oyj’s (the “Company”) shares and convertible notes, and convertible notes issued by GeoSolutions Holdings N.V., a wholly owned subsidiary of the Company. As announced by the Company on April 20, 2011 it has agreed to extend the current financing structure with additional financing of up to 0.6M€ through GeoSolutions Holdings N.V., and to issue additional convertible notes and special rights of the Company enabling the conversion of the notes issued by GeoSolutions Holdings N.V. alternatively directly into the shares of the Company.
Schroder’s clients holdings have been previously disclosed on July 8, 2010 and January 25, 2011 by a disclosures given under chapter 2, section 10 of the Securities Market Act. There are no changes in the aggregate holdings of all Schroder’s clients or any of its individual clients or client groups, except Ansa Group, resulting from the additional financing that would require giving a disclosure under the chapter 2 section 9 of the Securities Market Act. As a result of convertible notes received by virtue of the aforementioned additional financing together with the previously held shares and convertible notes by Ansa Group, the total holdings of Ansa Group could increase up to 440,226,835 shares, which corresponds to 20.38 % of the shares and votes after the conversion and accordingly exceeds the thresholds of 3/20 and 1/5.
As of the date of this release the registered shares amount of GeoSentric Oyj is 924,656,354 and share capital EUR 8,955,761.65.
