Swisher Hygiene Acquires Hospitality & Healthcare Chemical Systems and GJB Services, Inc.


CHARLOTTE, N.C., Aug. 16, 2011 (GLOBE NEWSWIRE) -- Swisher Hygiene Inc. ("Swisher Hygiene") (Nasdaq:SWSH) (TSX:SWI), a leading provider of essential hygiene and sanitation products and services, today announced that it has acquired Hospitality & Healthcare Chemical Systems ("HCS"), a Cincinnati-based division of Washing Systems, LLC, and GJB Services, Inc. ("Country Linen"), a Idaho-based linen and dust control company.

HCS primarily services the Midwest and Southeast regions of the United States and is focused on the needs of on-premise laundry facilities, hospitals and other healthcare facilities. The employees of HCS will be joining Swisher Hygiene and contributing to its growing customer base.

Country Linen covers the greater Boise, Idaho market and provides facilities services such as the processing and delivery of linen and dust control products to the healthcare and hospitality industries. Concurrent with the acquisition, Gary Braught, one of the founders of Country Linen, will be joining Swisher Hygiene.

Total consideration paid for by Swisher Hygiene in connection with the acquisitions includes approximately $1.3 million in cash and the issuance of convertible promissory notes which may be converted into a maximum of 223,438 shares of Swisher Hygiene common stock subject to certain restrictions, including acceptance by the Toronto Stock Exchange.
