PANOSTAJA ACQUIRES DMP–DIGITAL MEDIA PARTNERS OY AND STRENGTHENS ITS MARKET POSITION IN THE DIGITAL PRINTING SERVICES BUSINESS AREA

PANOSTAJA ACQUIRES DMP–DIGITAL MEDIA PARTNERS OY AND STRENGTHENS ITS MARKET POSITION IN THE DIGITAL PRINTING SERVICES BUSINESS AREA

Panostaja Oyj's subsidiary Digiprint Finland Oy has acquired the entire share capital of DMP-Digital Media Partners Oy. The DMP Group offers a range of printing, publishing and production services for marketing communications. The corporate acquisition extends Panostaja's business area specializing in digital printing services that already includes the Kopijyvä Group. The net sales of the DMP Group for the financial year ending in July 2012 totaled MEUR 15.2, and the company employs approximately 79 people. The sale price of the shares is MEUR 13.7.

Our goal is to develop Kopijyvä and DMP into an even stronger national operator and to internationalize their business activities. Currently, the printing field is undergoing many changes. With this acquisition, we bring new concepts, services and operating models into the sector,” says Panostaja CEO Juha Sarsama.

The technology used at Kopijyvä has strengthened its position as a leading company in its field in Finland. DMP provides new and innovative knowhow, and its brand is highly esteemed in Finland. With this acquisition, we shall bring together the best marketing operators,” CEO Juha Sarsama says.

In the financial period of 2010/2011, the combined net sales of Kopijyvä and DMP were some MEUR 44, and they employ a total of approximately 400 people.

The DMP-Digital Media Partners Group specializes in marketing communications, both in digital media and paper format. The company provides a wide selection of services ranging from prepress imaging, structural and layout design, and reproduction works to printing and publishing services, digital marketing, web-based material management services, as well as direct marketing services.

As a result of the reorganization, Panostaja will own approximately 56% of the total share capital of Digiprint Finland Oy. As part of the reorganization, the shareholders of DMP-Digital Media Partners Oy will become minority shareholders in Digiprint Finland Oy. After the conclusion of the reorganization, Digiprint Finland Oy owns Kopijyvä Oy and DMP-Digital Media Partners Oy entirely. Kopijyvä Oy CEO Heimo Viinanen will continue as the CEO of Kopijyvä Oy and Digiprint Finland Oy as well as a major shareholder. Jyrki Narinen will continue as the CEO of DMP-Digital Media Partners Oy.

The DMP-Digital Media Partners Group is estimated to be consolidated with Panostaja from the beginning of December 2012.

The acquisition has no impact on the result management given on October 29, 2012.
