Royal Unibrew has now completed its acquisition of Oy Hartwall Ab

 

Royal Unibrew’s acquisition of the Finnish brewery business Oy Hartwall Ab (Hartwall) has been completed today as the conditions for the acquisition have been met with the receipt of approval by the Estonian competition authorities and the customary consent from business partners (see Company Announcement No 35/2013 of 19 August 2013).

The acquisition is in line with Royal Unibrew’s strategy of being a focused and strong regional brewery player with leading positions in the markets for beer, malt and soft drinks, including soda water, mineral water and fruit juices as well as cider and long drinks (RTD), in the Nordic and Baltic countries.

The acquisition allows Royal Unibrew to expand its position as the second-largest brewery group in the Nordic and Baltic countries and to broaden and strengthen its earnings base, as well as to expand its portfolio of own brands

As previously announced, the acquisition is based on an assessed enterprise value of DKK 3.3 billion, and the acquisition price is DKK 2.8 billion. Hartwall will be included in the Financial Statements of the Royal Unibrew Group as of today’s date.

The impact of the acquisition on assets and liabilities in Royal Unibrew’s Consolidated Financial Statements and the expected net revenue, EBITDA and EBIT for 2013 will be announced in connection with the publication of Royal Unibrew’s Interim Report for the period 1 January – 30 June 2013 on 28 August 2013.

As mentioned in Company Announcement No 35/2013 of 19 August 2013, an extraordinary general meeting will be convened within the coming week, at which the Board will propose the election of a Finnish member to Royal Unibrew’s Board of Directors.
