For the first time, GRENKE plans to offer its shareholders a choice in the
type of dividend
- The dividend may either be paid in cash or be paid as a combination of
cash and shares of the Company (scrip dividend)
- The issuance of new shares from existing authorised capital is planned
- Scrip dividend is seen as an attractive and innovative opportunity for
GRENKE's shareholders to increase their commitment to the Company
Baden-Baden, February 28, 2014: For the first time, GRENKE plans to offer
its shareholders the option of receiving the dividend entirely in cash or
as a combination of cash and shares in GRENKELEASING AG (scrip dividend).
In view of the favourable development of 2013 and the Company's positive
outlook, the Board of Directors and the Supervisory Board will propose a
dividend of EUR 1.00 per share for the 2013 fiscal year to the Annual
General Meeting of GRENKELEASING AG on April 10, 2014. This represents a
distribution of EUR 14.7 million.
"For the first time, GRENKE's shareholders have the choice of receiving
part of their dividend in the form of additional shares in GRENKE. This
gives shareholders an opportunity to increase their commitment to GRENKE.
Through the re-investment of the dividend in the Company, shareholders can
strengthen the financial position and equity base of the GRENKE
Consolidated Group and support its growth strategy", commented Wolfgang
Grenke, Chairman of the Board of Directors of GRENKELEASING AG.
"We are offering a 2% discount on the market price of the shares determined
to those GRENKE shareholders who choose to receive the scrip dividend. The
subscription price is expected to be announced on our website, among
others, on April 25, 2014", explained Jörg Eicker, Chief Financial Officer
(CFO) of GRENKELEASING AG.
In order to create the necessary number of new shares of GRENKELEASING AG,
which are to serve as the underlying shares for the scrip dividend, the
authorised capital already in existence will be utilised and a capital
increase for contribution in kind with shareholders' subscription rights is
to be resolved following the Annual General Meeting of GRENKELEASING AG.
The subscription offer for purchasing the new shares is expected to be
published on April 11, 2014. Following the notification, GRENKE
shareholders may decide whether or not they would like to receive the scrip
dividend in the period from April 11, 2014 to April 28, 2014. Shareholders
who would not like to receive the scrip dividend, or who take no action,
are expected to receive the customary cash dividend on May 6, 2014.
Delivery of the new shares is planned on May 8, 2014.
