MACOM Announces Proposed Public Offering of Common Stock


LOWELL, Mass., Feb. 2, 2015 (GLOBE NEWSWIRE) -- M/A-COM Technology Solutions Holdings, Inc. (Nasdaq:MTSI) ("MACOM") announced today that it has commenced an underwritten public offering of 6,500,000 shares of its common stock, of which 4,500,000 shares are being offered by MACOM and an aggregate of 2,000,000 shares are being offered by John Ocampo, MACOM's Chairman of the Board and majority stockholder, and his affiliates and certain funds affiliated with Summit Partners, L.P. (collectively, the "Selling Stockholders"). MACOM intends to use the net proceeds from any shares sold by it in this offering to repay outstanding borrowings under its revolving credit facility and for general corporate purposes. The Selling Stockholders have granted the underwriters a 30-day option to purchase up to an additional 975,000 shares of common stock. MACOM will not receive any proceeds from the sale of shares of its common stock by the Selling Stockholders, including the sale of the shares of its common stock by the Selling Stockholders upon the exercise by the underwriters of their option to purchase additional shares.
