Bryn Mawr Bank Corporation Files $200 Million Shelf Registration

BRYN MAWR, Pa., March 19, 2015 (GLOBE NEWSWIRE) -- Bryn Mawr Bank Corporation (Nasdaq:BMTC), (the "Corporation"), parent of The Bryn Mawr Trust Company, announced today that it had filed, on March 16, 2015, a universal shelf registration statement with the Securities and Exchange Commission which has not yet been declared effective. This new shelf registration will replace the current shelf registration which is scheduled to expire on April 20, 2015 and will allow the Corporation to issue various types of securities, including common stock, debt securities, warrants and purchase contracts and units, from time to time, up to an aggregate of $200 million.

Frank Leto, President and Chief Executive Officer, commented, "As part of our continuing capital planning strategy, the new shelf registration will allow us to maintain the financial flexibility for the Corporation that we have enjoyed under our current shelf registration statement, and will continue to provide us with efficient access to the capital markets." Mr. Leto continued, "While we have no immediate plans to issue securities in a public offering, the shelf registration will support the long term growth of the Corporation. Additionally, issuances may continue to occur in connection with our current Dividend Reinvestment and Stock Purchase Plan."

The securities being registered under the new shelf registration may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This press release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of the securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
