ExamWorks Announces Proposed Offering of $500,000,000 of Senior Unsecured Notes


ATLANTA, GA., April 7, 2015 (GLOBE NEWSWIRE) -- ExamWorks Group, Inc. (NYSE:EXAM) announced today that it intends to commence an offering of $500 million in aggregate principal of senior unsecured notes due 2023 (the "Notes") pursuant to an effective shelf registration statement previously filed with the Securities and Exchange Commission (SEC). The Notes are expected to be guaranteed by certain of ExamWorks' existing and future U.S. subsidiaries.

ExamWorks intends to use the net proceeds of this offering to redeem all of the $250.0 million in aggregate principal amount of its outstanding 9.0% senior notes due 2019, to repay all outstanding borrowings under its existing credit facility, to pay related fees and expenses and for general corporate purposes, including acquisitions.
