The ExOne Company Announces Filing of Shelf Registration Statement

NORTH HUNTINGDON, Pa., April 10, 2015 (GLOBE NEWSWIRE) -- The ExOne Company (Nasdaq:XONE) ("ExOne" or the "Company"), a global provider of three-dimensional ("3D") printing machines and printed products to industrial customers, announced today that it has filed a shelf registration statement on Form S-3 with the Securities and Exchange Commission (the "SEC"). When declared effective by the SEC, the registration statement will allow ExOne to issue various types of debt and equity securities, including common stock, preferred stock, debt, warrants and units from time to time during the three-year period following its effective date, up to an aggregate amount of $150 million. This registration statement only permits sales of securities by ExOne for its own account and does not include any provision for any selling shareholders or executives to include shares.

S. Kent Rockwell, Chairman and Chief Executive Officer of ExOne commented, "Filing a shelf registration is a prudent step to provide additional financial flexibility for ExOne. Although we do not have immediate plans for raising and using this additional capital, we anticipate that a shelf registration will provide more efficient access to the capital markets and allow ExOne to act opportunistically in support of our growth objectives."

After the shelf registration statement becomes effective, the Company may offer and sell such securities through one or more methods of distribution, subject to market conditions and ExOne's capital needs. The terms of any offering under the shelf registration statement will be established at the time of such offering and will be described in a prospectus supplement filed with the SEC prior to completion of the offering.

A registration statement relating to these securities has been filed with the SEC but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This press release shall not constitute an offer to sell or a solicitation of an offer to buy, nor shall there be any sale of these securities in any jurisdiction in which an offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such jurisdiction. Any offering of the securities covered under the shelf registration statement will be made solely by means of a prospectus and an accompanying prospectus supplement relating to that offer.
