AMAG Pharmaceuticals Prices Public Offering of $201 Million of Common Stock


WALTHAM, Mass., July 30, 2015 (GLOBE NEWSWIRE) -- AMAG Pharmaceuticals, Inc. (Nasdaq:AMAG) announced today that it has priced its previously announced underwritten public offering of common stock consisting of 3,150,000 shares at a public offering price of $63.75 per share. Gross proceeds to AMAG from this offering are expected to be approximately $201 million. AMAG intends to use the net proceeds from this offering for the expansion and diversification of its product portfolio through the in-license or purchase of additional pharmaceutical products or companies, such as Cord Blood Registry (CBR), to refinance certain existing indebtedness, to pay various fees and expenses incurred in connection with the CBR acquisition and related financing transactions, as well as for general corporate purposes.

AMAG has granted the underwriters a 30-day option to purchase up to an additional 472,500 shares of common stock offered in the public offering. All of the shares in the offering will be sold by AMAG. 

The offering is expected to close on August 5, 2015, subject to customary closing conditions. Jefferies LLC and Barclays Capital Inc. are acting as joint book-running managers for the offering. Leerink Partners LLC is acting as lead manager for the offering. Guggenheim Securities, LLC and Raymond James & Associates, Inc. are acting as co-managers for the offering.
