Rex Energy Corporation Announces Extension of and Amendment to Offer to Exchange Outstanding 8.875% Senior Notes due 2020 and 6.250% Senior Notes due 2022 for New Senior Secured Second Lien Notes and Shares of Common Stock


STATE COLLEGE, Pa., March 22, 2016 (GLOBE NEWSWIRE) -- Rex Energy Corporation (the “Company”) (Nasdaq:REXX) announced today that it has extended and amended its previously announced exchange offer and consent solicitation related to the Company’s outstanding 8.875% Senior Notes due 2020 (the “2020 Notes”) and 6.250% Senior Notes due 2022 (the “2022 Notes” and, together with the 2020 Notes, the “Existing Notes”). The Company is offering to exchange (the “Exchange Offer”) any and all of the Existing Notes held by eligible holders for up to (i) $675,000,000 aggregate principal amount of the Company’s new Senior Secured Second Lien Notes (the “New Notes”) and (ii) 10,125,000 shares of the Company’s common stock (the “Shares”), upon the terms and subject to the conditions set forth in the Company’s Confidential Offering Memorandum and Consent Solicitation Statement (the “Offering Memorandum”), dated February 3, 2016, as supplemented by the Supplement to the Offering Memorandum dated March 14, 2016 (the “First Supplement”), the Second Supplement to the Offering Memorandum dated March 22, 2016 (the “Second Supplement” and, together with the First Supplement, the “Supplements”) and the related revised Letter of Transmittal, dated March 14, 2016. Concurrently with the Exchange Offer, the Company is soliciting consents (the “Consent Solicitation”) from eligible holders to proposed amendments to the indentures governing the Existing Notes that would eliminate certain restrictive covenants. As a result of the extension, the Exchange Offer and Consent Solicitation is now set to expire at 9:00 a.m., New York City time, on March 30, 2016, unless further extended. The Exchange Offer and Consent Solicitation was originally set to expire at 9:00 a.m., New York City time, on March 3, 2016 (the “Original Expiration Time”).  The Company has made the following further amendments to the terms of the Exchange Offer:

  • Maturity.  The New Notes will mature on October 1, 2020; provided, however, that if greater than 99% of each of the 2020 Notes and the 2022 Notes are tendered at or prior to the Expiration Time, the New Notes will mature on October 1, 2021.
     
  • Registration Rights.  In connection with the Exchange Offer, the Company and the Guarantors (as defined in the Offering Memorandum) will enter into a registration rights agreement pursuant to which the Company and the Guarantors will agree to use their commercially reasonable efforts to register with the Securities and Exchange Commission notes having substantially identical terms as the New Notes as part of an offer to exchange registered exchange notes for the New Notes.  If the Company and the Guarantors are not able to effect the exchange offer, they will use their commercially reasonable efforts to file and cause to become effective a shelf registration statement relating to resales of the New Notes.

In addition, the Company has made certain other changes as described in the Second Supplement.  Except as set forth herein and in the Supplements, all of the other terms of the Exchange Offer and Consent Solicitation set forth in the Offering Memorandum remain unchanged. As of this date, tenders of approximately $137,524,000 aggregate principal amount, or 39.29%, of the 2020 Notes and tenders of approximately $129,619,000 aggregate principal amount, or 39.88%, of the 2022 Notes have been received pursuant to the Exchange Offer.
