EXTRAORDINARY EVENT
On 19 February, 2016, Saipem SpA (“Saipem”) (Bloomberg code: SPM IM Equity) (a Reference Asset) announced that the rights offering of 9,668,363,496 newly issued Saipem ordinary shares had been completed. After the capital increase Saipem’s new share capital amounted to Euro 2,191,384,693, represented by 10,109,665,070 ordinary shares and 109,326 savings shares, with no par value.
In the Issuer’s opinion, the capital increase constitutes an Extraordinary Event pursuant to the Terms and Conditions of the Notes set forth in the Base Prospectus dated 16 April 2013, as supplemented, and the Final Terms dated 13 September 2013. Capitalised terms used in this notice have the same meaning as in the Final Terms and the Base Prospectus for the Notes.
Upon the occurrence of an Extraordinary Event the Issuer is entitled to make such adjustments in the calculation of the Redemption Amount, Interest Amount and/or compilation of Reference Assets, or to replace the Affected Reference Asset with a Replacement Reference Asset which the Issuer thereby deems necessary in order to achieve a calculation of the Redemption Amount which reflects, and is based on, the manner in which such was previously calculated.
As a result of the Extraordinary Event the Initial Price for the Reference Asset Saipem SpA (SPM IM Equity), which will be used for calculating the Redemption Amount, has been set to 1.9484016.
