Argos Therapeutics Announces $6,000,000 Secured Convertible Note Financing


DURHAM, N.C., June 16, 2017 (GLOBE NEWSWIRE) -- Argos Therapeutics, Inc. (Nasdaq:ARGS), an immuno-oncology company focused on the development and commercialization of individualized immunotherapies for the treatment of cancer and infectious diseases based on the Arcelis® technology platform, today announced that it entered into a note purchase agreement for the sale of a secured convertible promissory note in the principal amount of $6,000,000 to Pharmstandard International S.A. in a private placement.  The sale of the Note is expected to close on June 21, 2017, subject to the satisfaction of certain customary closing conditions.

The Note and the shares of common stock issued or issuable upon conversion of the Note (together, the “Securities”) have not been registered under the Securities Act of 1933, as amended or applicable state securities laws, and accordingly may not be offered or sold in the United States except pursuant to an effective registration statement or an applicable exemption from the registration requirements of the Securities Act and such applicable state securities laws.The Company has agreed to file a registration statement with the Securities and Exchange Commission registering the resale of the shares of common stock issued or issuable upon conversion of the Note.
