TDC announces that TDC A/S today entered an agreement regarding purchase of 100% of the share capital of Plenti ApS including its contractual obligations. The acquisition was completed upon signing of the agreement and a cash transfer to the Plenti shareholders amounting to DKK 74m (equity value).
Plenti was founded in 2015 and the primary activity of the company is sale of mobile telephony to consumers in Denmark.
For the company's extended first financial year 2015/2017 Plenti had revenues of DKK 36m and an EBITDA of DKK -46m. Plenti had end of August 2017 a customer base of approximately 90.000 customer.
The acquisition is expected to have the following financial impact in 2017:
· Plenti is expected to have a minor negative EBITDA impact but will contribute positively on EBITDA from 2018 including
synergies.
· EFCF is expected to be negatively affected by integration costs and other contractual obligations.
