GC Rieber Shipping: Approval of Prospectus

Reference is made to the stock exchange announcement dated 26 January 2018 in which GC Rieber Shipping ASA ("GC Rieber Shipping" or the "Company") announced that the extraordinary general meeting (the "EGM") had resolved to carry out a rights issue (the "Rights Issue") of 13,333,333 new shares in the Company (the "Offer Shares") at a subscription price of NOK 7.50 per Offer Share (the "Subscription Price").

Approval and availability of the Prospectus:

The Norwegian Financial Supervisory Authority (Nw. Finanstilsynet) has today approved the Company's prospectus prepared in connection to the Rights Issue (the "Prospectus").

Subject to applicable local securities laws, the Prospectus will be available from 14 February 2018 at the following website: www.carnegie.no.

Subscription Period for the Rights Issue:
From 16 February 2018 to 16:30 hours (CET) on 2 March 2018.

Trading in Subscription Rights:
From 16 February 2018 to 16:30 hours (CET) on 2 March 2018.

Carnegie AS is acting as Receiving Agent in the Rights Issue.

Advokatfirmaet Thommessen AS is acting as the Company's legal adviser in connection to the Rights Issue.

Further details of the terms of the Rights Issue will be announced prior to the commencement of the subscription period and included in the Prospectus.
