Daré Bioscience, Inc. to raise approximately $10.25 million


SAN DIEGO, Feb. 13, 2018 (GLOBE NEWSWIRE) -- Daré Bioscience, Inc. (NASDAQ:DARE) today announced the pricing of its previously announced underwritten public offering of 5.0 million shares of its common stock and warrants to purchase up to 3.5 million shares of its common stock.  Each share of common stock is being sold together with a warrant to purchase up to .70  of a share of common stock, at an exercise price of $3.00 per share. The warrants will be exercisable immediately and will expire five years from the date of issuance In addition, Daré has granted the underwriters a 30-day overallotment option to purchase up to an additional 750,000 shares of common stock and warrants to purchase up to 525,000 shares of common stock. The offering is expected to close on or about February 15, 2018, subject to customary closing conditions.

Roth Capital Partners, served as sole underwriter for the offering. After underwriter fees and estimated offering expenses payable by the company, the company expects to receive net proceeds of approximately $9.4 million, before the overallotment option. The Company intends to use the net proceeds for working capital and general corporate purposes, which include, but are not limited to, advancing its product portfolio, acquiring the rights to new product candidates, and general and administrative expenses.
