Shareholders voted and approved the following proposals: (1) the appointment of PricewaterhouseCoopers LLP as the auditors of the Corporation; (2) the election of the directors of the Corporation; and (3) the approval of an amendment to the Advance Notice Provisions of the Corporation's Amended and Restated Bylaws.
