CHF Solutions, Inc. Announces Closing of Common Stock Offering


EDEN PRAIRIE, Minn., July 03, 2018 (GLOBE NEWSWIRE) -- CHF Solutions, Inc. (NASDAQ:CHFS) today announced the closing of its previously-announced underwritten public offering of 2,547,169 shares of its common stock at a price to the public of $2.12 per share, for gross proceeds of $5.4 million, including the full exercise of the underwriters’ over-allotment option to purchase additional shares of CHF Solutions common stock, prior to deducting underwriting discounts and commissions and offering expenses payable by CHF Solutions. 

Ladenburg Thalmann & Co. Inc., a subsidiary of Ladenburg Thalmann Financial Services Inc. (NYSE American:LTS), acted as sole book-running manager in connection with the offering. Dawson James Securities, Inc. acted as co-manager for the offering.

The company intends to use the net proceeds for the offering for general corporate purposes, including the expansion of its field sales force and commercial organization.

The offering was made pursuant to a shelf registration statement on Form S-3 (File No. 333-224881) that was filed by the company with the Securities and Exchange Commission (SEC) and was declared effective on May 23, 2018.  A preliminary prospectus supplement and accompanying prospectus relating to the offering was filed with the SEC and a final prospectus supplement and the accompanying prospectus relating to this offering were filed with the SEC.
