On 13 July 2018, the board of Lithuania’s natural gas transmission system operator, AB Amber Grid, approved the decision to conclude agreements between the parent company, UAB EPSO-G, (company code 302826889, registered address Gedimino pr. 20, LT-01103 Vilnius, company data stored at the Register of Legal Entities of the Republic of Lithuania) and AB Amber Grid for the transfer of tax losses (hereinafter referred to as the "Agreement").
The terms of the agreements provide for the paying by AB Amber Grid to UAB EPSO-G of 15 percent from the total amount of tax loss taken over, i.e. EUR 563,000.00 for the year 2016 and EUR 430,000.00 for the year 2017. This transaction will not affect the Company's bottom line.
Please find attached UAB EPSO-G Audit Committee’s Opinion stating that the transaction is fair in respect to all the shareholders of AB Amber Grid and that the transfer of tax losses is carried out in accordance with the procedure provided for by the Law on Income Tax.
