Kildare Nordic Acquisitions S.à r.l. to Commence Redemption Proceedings in Respect of the Remaining Minority Shares in Technopolis Plc

Kildare Nordic Acquisitions S.à r.l. (the ”Offeror”) announced on October 12, 2018 that it will complete the voluntary public cash tender offer to acquire all the issued and outstanding shares in Technopolis Plc (“Technopolis”) which are not held by Technopolis or its subsidiaries (the “Tender Offer”).

The Offeror has informed Technopolis that the Offeror holds more than nine-tenths of the outstanding shares in Technopolis, and that the Offeror therefore has the redemption right and obligation under Chapter 18, Section 1 of the Finnish Companies Act to redeem the shares held by the other Technopolis shareholders at the fair price.

The Offeror will initiate the redemption proceedings with respect to the remaining shares in Technopolis held by the minority shareholders of Technopolis by initiating arbitration proceedings pursuant to the Finnish Companies Act. The Offeror will also initiate in due course measures to delist the Technopolis shares from  Nasdaq Helsinki. The Offeror has reserved the right to acquire shares in Technopolis in the public trading on Nasdaq Helsinki or otherwise at a price not exceeding the offer price of EUR 4.65 per share paid by the Offeror in the Tender Offer.
