RESOLUTIONS OF KOTIPIZZA GROUP’S EXTRAORDINARY GENERAL MEETING OF SHAREHOLDERS AND BOARD OF DIRECTORS’ CONSTITUTIVE MEETING

The Extraordinary General Meeting of Shareholders of Kotipizza Group Oyj, held on 12 February 2019, and the subsequent Constitutive Meeting of the Board of Directors, passed the following resolutions.

  1. RESOLUTIONS OF EXTRAORDINARY GENERAL MEETING

Remuneration of Members of Board of Directors

It was resolved that all members are paid EUR 25,000 annually. However, no remuneration shall be paid to the members of the Board of Directors who are employed by Orkla ASA or its group companies. Separate meeting remuneration shall not be paid for meetings of the Board of Directors nor for committee meetings. All members of the Board of Directors shall be compensated for travel and other expenses directly related to their Board work.

Number of Members of Board of Directors

It was resolved that the number of members of the Board of Directors is six.

Composition of Board of Directors

It was resolved that the following persons are elected as members of the Board of Directors for a term of office that lasts until the end of the next Annual General Meeting: Rabbe Wikström, Aaron Moore-Saxton, Kalle Ruuskanen, Johanna Paavola, Terje Andersen and Viktor Söderberg. Rabbe Wikström was elected as Chairman of the Board of Directors.

  1. RESOLUTIONS OF CONSTITUTIVE MEETING OF BOARD OF DIRECTORS

Committees of Board of Directors

It was resolved that the Audit and Remuneration Committees are discontinued.

Financial Reporting

It was resolved that the company will, in the future, publish only a half-year report and financial statements bulletin.

The minutes of the Extraordinary General Meeting of Shareholders will be available on the company’s website at kotipizzagroup.com/investors no later than 26 February 2019.

Kotipizza Group in brief
Kotipizza is a Finnish pizza chain founded in 1987. At the end of financial year 2017, the number of restaurants stood at 266. In the financial year 2017, the total sales of Kotipizza restaurants amounted to EUR 106.3 million. The Kotipizza chain and Kotipizza Oyj operating the chain are part of the Kotipizza Group, alongside the supply and logistics company Helsinki Foodstock Oy, Chalupa Oy that operates the Mexican-style restaurant chain Chalupa, The Social Burger Joint Oy that operates the Social Burgerjoint restaurant chain, as well as the No Pizza restaurant concept, aimed for international markets, that opened its first restaurant in June 2018.

In the financial year 2017, Helsinki Foodstock had net sales of EUR 64.2 million and the total sales of Chalupa restaurants were EUR 1.86 million. In the same period, the Kotipizza Group had net sales of EUR 79.9 million with a comparable EBITDA of EUR 8.52 million.
