IMV Inc. Files Preliminary Prospectus Supplement for Proposed Public Offering of Common Shares


DARTMOUTH, Nova Scotia, Feb. 28, 2019 (GLOBE NEWSWIRE) -- IMV Inc. (“IMV” or the “Corporation”) (NASDAQ: IMV; TSX: IMV), a clinical-stage immuno-oncology corporation, has today filed a preliminary prospectus supplement (the “Supplement”) to its short form base shelf prospectus dated June 5, 2018 (the “Base Prospectus”) in connection with a proposed public offering of its common shares (the “Offering”). The Supplement was filed with the securities regulatory authorities in the provinces of British Columbia, Alberta, Saskatchewan, Manitoba, Ontario, Québec, Nova Scotia and Newfoundland and Labrador. The Supplement was also filed with the U.S. Securities and Exchange Commission (the “SEC”) as part of a registration statement on Form F-10, as amended (the “Registration Statement”), which was declared effective by the SEC on June 6, 2018, in accordance with the Multijurisdictional Disclosure System established between Canada and the United States.

The Corporation intends to use the net proceeds of the Offering to accelerate the development of DPX-Survivac in combination with Keytruda as part of the basket trial select advanced or recurrent solid tumours in bladder, liver (hepatocellular carcinoma), ovarian or non-small-cell lung cancers, as well as tumours shown to be positive for the microsatellite instability high biomarker and for general corporate purposes.

The Corporation also expects to grant to the underwriters a 30-day option to purchase up to an additional 15% of the number of common shares offered in the Offering. The Offering is expected to be priced in the context of the market, with the final terms of the Offering to be determined at the time of pricing. The closing of the Offering will be subject to customary closing conditions, including the listing of the common shares on the TSX and Nasdaq and any required approvals of each exchange.
