NIBE announces preliminary interim result of its public tender offer for Schulthess

NIBE Industrier AB (publ) of Sweden (“NIBE”), one of the leading heat pump manufacturers in Europe, has up to and including June 6, 2011, received 5,750,892 in tendered shares under its recommended, voluntary public tender offer for all publicly held registered shares of Schulthess Group AG (“Schulthess”), the Swiss company for heating, cooling, washing technology and home automation. Including the shares purchased through share purchase agreements with several large shareholders, NIBE holds in total 85.26% of the share capital and votes in Schulthess at the end of the acceptance period.

  • The preliminary interim result shows that, following the end of the acceptance period on June 6, 2011, in total 5,750,892 Schulthess shares, equivalent to 54.13% of the share capital and votes, were tendered under the public tender offer made by NIBE. Including the shares purchased through share purchase agreements with several large shareholders of Schulthess, NIBE holds in total 9,058,848 Schulthess shares, equivalent to 85.26% of the share capital and votes.
     
  • On June 10, 2011, NIBE will publish the definitive interim result and information on whether the public tender offer can be declared successful, i.e. if the conditions of the public tender offer have been fulfilled or if NIBE waives certain conditions in part or in whole. If the offer is declared successful, the additional acceptance period of 10 trading days will start on June 14, 2011, and run up to and including June 27, 2011, at 16:00 (CET).
