Pursuant to chapter 9, section 5 of the Securities Markets Act, Ixonos Plc (“Ixonos” or the “Company”) has on 10 December 2013 received a notification of the following change in a portion of holdings:
Turret Oy Ab ("Turret") has in relation to the Company's rights issue that ended on 3 December 2013 (the ”Rights Issue”) subscribed for 18,797,724 shares based on its subscription commitment and 2,212,970 shares based on its underwriting commitment to the effect that Turret's ownership in Ixonos exceeds 25 per cent following such subscription. Turret ownership in Ixonos as at 10 December 2013 is 22,719,578 shares corresponding to approximately 29.95 per cent of the aggregate amount of shares and the votes attached thereto after the Rights Issue.
The aggregate number of shares in Ixonos following the Rights Issue is 75,858,359. Each share carries one vote.
Turret had executed a subscription commitment and an underwriting commitment in relation to the Rights Issue. Turret's number of votes after the use of such subscription commitment and such underwriting commitment did not exceed 30 per cent of the votes attached to all shares in the Company. The Financial Supervision Authority has on 14 November 2013 granted Turret a permanent exemption from the mandatory public tender offer obligation set out in Chapter 11, Section 19 of the Securities Market Act in case Turret's ownership following the Rights Issue exceeds either 30 or 50 per cent of the votes in the Company as a result of the subscription commitment given to the Company which commitment is based on Turret's pro rata ownership.
