Effective immediately, Jerry Tarasofsky will be appointed as chair of the audit committee with Nicky Bearsted and Jon Brockhouse continuing to serve as independent members of the audit committee. Subsequent to the appointment of the new auditor, the board of directors accepted the formal resignation of John Gillberry as a director and former chair of the audit committee.
