Medigus Announces Pricing of $10 Million Underwritten Public Offering


OMER, Israel, July 19, 2018 (GLOBE NEWSWIRE) -- Medigus Ltd. (“Medigus” or the “Company”) (NASDAQ:MDGS) (TASE:MDGS), a medical device company developing minimally invasive endosurgical tools and a leader in direct visualization technology, today announced the pricing of an underwritten public offering of 2,837,674 units at a price of $3.50 per unit. Medigus expects to receive aggregate gross proceeds of approximately $10 million from the offering, assuming no exercise of the underwriter's option to purchase additional securities. Each unit consists of (i) one American Depositary Share, or ADS (or ADS equivalents), and (ii) one Series C warrant to purchase one ADS. The ADSs (or ADS equivalents) and the accompanying Series C warrants included in the units can only be purchased together in this offering, but will be issued separately and will be immediately separable upon issuance. 

The Series C warrants will have a term of five years, be exercisable immediately and have an exercise price of $3.50 per ADS.  The Series C warrants will be listed on the Nasdaq Capital Market under the symbol “MDGSW” and are expected to begin trading on July 23, 2018.  

H.C. Wainwright & Co. is acting as the sole book-running manager for the offering.  

In connection with the offering, Medigus has granted the underwriter a 30-day option to purchase up to 425,651 additional ADSs and/or 425,651 Series C warrants to purchase up to additional 425,651 ADSs. The offering is expected to close on or about July 23, 2018, subject to customary closing conditions.

Medigus intends to use the net proceeds from the offering for general corporate purposes.

A registration statement on Form F-1 relating to the public offering of the securities described above was filed with the Securities and Exchange Commission (“SEC”) and was declared effective on July 18, 2018.
