Rotterdam, the Netherlands, December 31, 2018 Refresco is undertaking a consolidation of the companies at the top of the group upon the completion of the mandatory buy-out procedure, following the public offer by Sunshine Investments B.V., the consortium of PAI Partners SAS ("PAI") and British Columbia Investment Management Corporation ("BCI").
Sunshine Investments B.V. (the "Company"), Refresco Group B.V. ("Group") and Refresco Holding B.V. ("Holding") will be merged and the remaining entity of the consolidation will be Refresco Holding B.V. This will be done through an upstream merger of Group into the Company followed by a downstream merger of the Company into Holding. Both steps will be completed on January 1, 2019.
The mergers are being undertaken in compliance with the senior facilities agreement and the senior notes and these mergers require no lender consent. Holding will accede as borrower under the senior facilities agreement and the lenders under the senior facilities agreement and holders of the senior notes will benefit from security over the shares of Holding. As a consequence of the corporate mergers, the Executive Board will be employed at the level of the new Group Top Company, i.e. Sunshine Top B.V.
