The Extraordinary General Meeting of Shareholders of the Company, which was held on 4 December 2019, adopted the decision to delist all shares of AB Ignitis Gamyba from trading on the Nasdaq Vilnius Stock Exchange. In accordance with the Law of the Republic of Lithuania on Securities, an official tender offer to buy-in the issuer's shares admitted to trading on the regulated market operating in the Republic of Lithuania must be submitted and implemented following the adoption of the decision to delist the issuer‘s shares from trading on the regulated market operating in the Republic of Lithuania. The aforementioned Extraordinary General Meeting of Shareholders has also adopted the decision to approve the shareholder UAB Ignitis Grupė as an entity that will make an official tender offer to buy-in the shares of AB Ignitis Gamyba that are admitted to trading on the Nasdaq Vilnius Stock Exchange.
We hereby notify that UAB Ignitis Grupė (legal entity code 301844044) intends to make an official tender offer aimed at delisting the shares of AB Ignitis Gamyba from trading on the Nasdaq Vilnius Stock Exchange.
Detailed information on the terms of the official tender offer, including the proposed price of the shares, will be disclosed in accordance with the legislation after the Bank of Lithuania will approve the tender offer circular.
Information about the above-mentioned resolutions shall be provided on the website of AB Ignitis Gamyba at http://www.ignitisgamyba.lt from the date of this notice as well as on the premises of AB Ignitis Gamyba (Elektrines st. 21, Elektrenai, or Zveju st. 14, Vilnius) during working hours (7.30–11.30 a.m. and 12.15–4.30 p.m.; 7.30–11.30 a.m. and 12.15–3.15 p.m. on Fridays).
