American Realty and National Realty Agree on Combination Through New Holding Company Structure


American Realty Trust, Inc., a Georgia corporation, is successor to a District of Columbia business trust organized on July 14, 1961. National Realty, L.P. is a Delaware limited partnership formed on Jan. 29, 1987. Most of NLP's properties were acquired on Sept. 18, 1987, when it acquired all assets and assumed all liabilities of 35 public and private limited partnerships. The General Partner of National Realty is NRLP Management Corp., a Nevada corporation and wholly owned subsidiary of American Realty Trust.

At March 5, 1999, ART owned 55.4 percent of NLP's units of limited partnership interest. Both ART and NLP are advised by Basic Capital Management, Inc., a privately held corporation. At March 5, 1999, Basic Capital owned 54.3 percent of ART and 7.6 percent of NLP.
