EMAX NET, Inc. Enters Into Letter of Intent to Merge with ReDOX Technology Corp.


ORLANDO, Fla., Feb. 5, 2004 (PRIMEZONE) -- EMAX NET, Inc., a Florida corporation partly owned by eMax Corporation (Pink Sheets:EMAX) announced today that it has signed a letter of intent to merge into ReDOX Technology Corp. (OTCBB:RDOX).

James Schuler, President and CEO of ReDOX Technology Corp. stated, "Shortly after we began negotiations, we realized our products and goals mesh very nicely with EMAX NET's products, resources and marketing reach all of which serves to further enhance the value of our shareholders' equity."

Matthew Weber, Chairman of eMax Corporation, and EMAX NET, said, "There's a great deal of synergy between the two companies. Incorporating ReDOX's proprietary anti-pirating software into our music, video and software game products will enable us to launch the first truly secure entertainment delivery platform in the world. Furthermore, we would anticipate completion of this merger would allow eMax Corporation to issue a second stock dividend to our shareholders. We expect to announce details relevant to that possible dividend sometime in the next few weeks."

Upon completion of the merger, the new company will retain EMAX NET's name and EMAX NET's management team will assume control of the company. The corporate headquarters will be situated in Orlando, Florida. ReDOX Technology will remain as a majority owned division of the reorganized company and will continue to maintain its operating offices in Houston, Texas and Alameda, California. Additional details will be filed on Form 8-K with the Securities and Exchange Commission within fifteen days of the closing.
