Séchilienne Sidec proposes new members for its Board of Directors

After a thorough selection process, Séchilienne Sidec's Board of Directors has decided to propose three new Board members for appointment at the next General Meeting of shareholders. The three nominees are intended to replace Mr. Jean STERN, Mr. Guy RICO and Mr. Xavier LENCOU-BAREME, who are not seeking reappointment after the upcoming expiry of their mandates.

The following nominees will be proposed for appointment to the General Meeting of shareholders of 30 May 2013 as Directors of the Company:

-        Michèle REMILLIEUX

Michèle REMILLIEUX began her career in a number of IT services and consultancy companies and was CEO of Promatec from 1975 to 1987. She then joined Hay Group, the global management consulting firm, and was CEO of Hay Group France from 1999 to 2013. Michèle Remillieux will bring her wealth of experience in developing management talent and corporate efficiency drives to human resources management at Séchilienne Sidec and is being called upon to take over the chairmanship of the Nomination and Remunerations Committee, a position currently held by Myriam MAESTRONI.

-        Daniel VALOT

Daniel VALOT, an honorary member of the French Court of Auditors, spent most of his career in the energy sector, first at Total (1981-1999), where he was head of the Exploration and Production Division, and then at Technip (a world leader in oil engineering), where he was CEO from 1999 to 2007. Mr. Valot has been invited to take over the chairmanship of the Audit, Accounts and Risks Committee, a position currently held by Mr. Jean STERN.

-        Jean-Carlos ANGULO

After beginning his career as an aerospace project engineer at Société Européenne de Propulsion (SEP), Mr. Jean-Carlos Angulo joined Lafarge in 1975. He was head of several departments and subsidiaries at Lafarge before being appointed Deputy CEO in 2000 and a member of the Executive Committee in 2007. Jean-Carlos Angulo will bring to Séchilienne Sidec's Board his extensive knowledge of Brazil, a market that is a major priority for the Group.

Jacques PETRY, Séchilienne Sidec's Chairman and Chief Executive Officer, said: "Personally and on behalf of the entire Board of Directors, I would like to thank Mr. Jean STERN, Mr. Guy RICO and Mr. Xavier LENCOU-BAREME for their important contribution to the success of our Group. We will now put forward three new candidates to the Board for shareholders' approval. The special skill sets and years of international experience these candidates possess will have a durable effect on the Group's growth. If the candidates are approved, the Board will then include two women, each of whom is destined to chair a Board Committee."
