KEMIRA OYJ ANNUAL GENERAL MEETING, 3 APRIL 2002: A DIVIDEND OF EUR 0.30 PER SHARE; STEN-OLOF HANSÉN CONTINUES AS CHAIRMAN OF THE BOARD OF THE DIRECTORS


The Annual General Meeting of Kemira Oyj confirmed the payment of a dividend of EUR 0.30 per share for the 2001 financial year. Sten-Olof Hansén, D. Sc. (Econ.) will continue as chairman of the Board of Directors and Member of Parliament Timo Kalli will stay on as chairman of the Supervisory Board.

The Annual General Meeting of Kemira Oyj resolved that a dividend of EUR 0.30 per share be paid for the 2001 financial year. The record date for the dividend payout is 8 April 2002 and the dividend will be paid on 16 April 2002.

The Annual General Meeting also resolved that

- the Articles of Association be amended such that the general meeting of shareholders elects the Company's Board of Directors and its chairman and that the Board of Directors elects the Company's president and his deputy.

- the Board of Directors be authorized to decide on buying back the Company's own shares such that the Company can have in its possession up to a maximum of 5 per cent of the Company's entire shares outstanding, or 6,118,000 shares. Shares can nevertheless be bought back up to a maximum amount of 1,928,000 shares as the Company has already in its possession previously acquired shares.

- the Board of Directors also be authorized to transfer shares on as well as to sell them through Helsinki Exchanges. The shares can be used for the payment of employee bonuses and possible bonuses to the personnel funds provided the Board of Directors decides to introduce such a compensation system, and as consideration in making acquisitions. The authorization relates to a maximum of 6,118,000 of the own shares bought back for the Company. The purchase and transfer authorization concerning the own shares shall be in force for one year.

TIMO KALLI TO CONTINUE AS CHAIRMAN OF THE SUPERVISORY BOARD

The Annual General Meeting appointed Kemira Oyj's present Supervisory Board also for the next term of office and elected Member of Parliament Timo Kalli as chairman of the Supervisory Board. Member of Parliament Kari Rajamäki will continue as first vice chairman and Member of Parliament Hanna Markkula-Kivisilta will continue as second vice chairman.

In addition to the above, the following persons were re-elected to seats on the Supervisory Board: Sirpa Hertell, Risto Ranki, Pekka Kainulainen, Mikko Långström, and Susanna Rahkonen.

The firm of independent public accountants KPMG Wideri Oy Ab was re-elected as the Company's auditor, with Hannu Niilekselä, Authorized Public Accountant, acting as chief auditor.

KEMIRA OYJ'S NEW BOARD OF DIRECTORS

The Annual General Meeting appointed the Company's Board of Directors to a term of office of one year. As chairman of the board continues Sten-Olof Hansén, D. Sc. (Econ.), Professor of International Marketing, Turku School of Economics and Business Administration, and as vice chairman, Niilo Pellonmaa, M. Sc. (Econ.), chairman of the Board of Directors of Rocla Oy and vice chairman of the Board of Directors of Uponor Oy. Matti Packalén, M.Sc. (Eng., Econ.) was elected as a new member of the board.

The members of the Board of Directors to continue are:

- Eija Malmivirta, M. Sc. (Eng.), chairman of the Board of Directors of Merei Energy Oy Ltd,
- Anssi Soila, M. Sc. (Eng. & Econ.), chairman of the Board of Directors of Sponda Oyj
- Ritva Hainari, M. Sc. (Eng. & Econ.), Industrial Counsellor of the State Shareholding Unit of the Ministry of Trade and Industry
