Incap Corporation's board endorsed the subscriptions of shares issued to shareholders of JMC Tools Oy. All shareholders of JMC Tools Oy exchanged their JMC Tools Oy shares for new shares of Incap Corporation in accordance with the terms and conditions of the issue. Altogether 8.670.770 shares were subscribed and paid as subscription in kind. The increase of share capital, 14.583.188,27 euros, will be entered in the trade register on approximately 24.4.2002, and trading in the shares will begin on the I list of Helsinki Stock Exchange on approximately 25.4.2002. Of the new shares, 70 percent are subject to the restriction that they must not be sold or otherwise transferred before the company's interim report for 1.1. - 30.9.2002 has been published. As a consequence of the exchange of shares, JMC Tools Oy became a fully owned subsidiary of Incap Corporation.
