Dobson Communications Considering Public Offering of Shares That May Include Secondary Shares


OKLAHOMA CITY, Sept. 17, 2003 (PRIMEZONE) -- Dobson Communications Corporation (Nasdaq:DCEL) today reconfirmed that, as previously announced, it is continuing to consider a public offering of its Class A common stock, subject to market conditions and other considerations, that would result in gross proceeds to Dobson Communications of as much as $150 million. The Company intends to use the net proceeds from the offering to reduce debt and preferred stock obligations, and for general corporate purposes.

Dobson also announced that it intends to offer shareholders who hold shares that may be sold pursuant to the registration statement recently declared effective by the Securities and Exchange Commission the opportunity to include a portion of their Class A shares in a possible public offering. The Company would not receive any proceeds from shares sold by these selling shareholders in an offering.
