Composition of the Board of Directors

The Board will propose to Fortis' shareholders to reappoint Count Maurice Lippens for a three-year term and Baron Daniel Janssen for a one-year term, Mr. Janssen reaching in 2006 the age limit set by the Board.

The Board decided not to propose to Fortis' Shareholders the reappointment of Prof. Dr. Annemieke Roobeek, applying the new policy adopted by the Board regarding the maximum duration of a mandate as non-executive Member.

Mrs. Roobeek joined in 1994 the Supervisory Board of Fortis Amev and is since 1998 non-executive member of the Board of Directors of Fortis. During all these years the Board benefited from Mrs. Roobeek's sound understanding of the Fortis' strategic choices and of her strong commitment to the Board work and Fortis development. The Board expresses its deep gratitude for the important contribution made by Mrs. Roobeek to Fortis during a period of significative external and internal growth.

Later today, 9 March 2005, the Board will determine the 2004 Fortis Results and the dividend proposal to be submitted for decision to shareholders. The press release relative to the results and the dividend will be issued on Thursday 10 March, before the opening of Euronext.
