The Supervisory Board of Van Lanschot NV intends to appoint P.A.M. (Paul) Loven (48) as a member of the Board of Managing Directors of Van Lanschot NV / F. van Lanschot Bankiers NV as from 1 August 2005. The announcement of his appointment will be included on the agenda of the General Meeting of Shareholders of Van Lanschot NV to be held on 11 May 2005.
Partly in view of the planned introduction of a new back office system at Van Lanschot, Paul Loven will be responsible in particular for managing the back office activities and the Finance & Control department.
Mr Loven has worked for ABN AMRO Bank since 1981 and in the past few years has held the positions of Chief Operating Officer and Chief Financial Officer of the Netherlands Business Unit. Prior to that, he was responsible for, among other things, the Operating, Finance and IT portfolio of ABN AMRO in South America and the Caribbean.
Paul Loven will be appointed to the Board of Managing Directors for a term of four years, while his employment contract will be concluded for an indefinite period. The appointment will be subject to the approval of De Nederlandsche Bank (the Dutch Central Bank).
His employment contract will include a clause concerning severance pay, which will be in line with best practice provision II.2.7 of the Dutch Corporate Governance Code.
The remuneration of Paul Loven will comply with the remuneration policy discussed at the shareholders' meeting on 20 October 2004. Reference is made to the report of the Selection and Remuneration Committee which forms part of the 2004 annual report of Van Lanschot NV. Further details of the contract with Mr Loven will be announced at the General Meeting of Shareholders on 11 May 2005.
After the appointment of Mr Loven, the Board of Managing Directors of Van Lanschot will comprise:
- F.G.H. (Floris) Deckers, Chairman;
- C.N. (Carel) van der Spek;
- P.R. (Peter) Zwart;
- H.H. (Hanso) Idzerda;
- P.A.M. (Paul) Loven.
