On September 28, 2005 Sika AG launched a public tender offer for all publicly held registered shares of Sarna
Polymer Holding Inc. at an offer price of CHF 175.00 net per
Sarna share.
The offer was accepted at the close of the acceptance period on November 11 with a very high shareholding of 98.33%.
On December 16, 2005 the relevant antitrust authorities issued all necessary approvals.
Sika will now proceed to execute the tender offer. The offer price for the tendered Sarna shares will be paid out to the shareholders with value date December 27, 2005.
